Edwards Lifesciences Manager, Legal (Corporate Paralegal) in Irvine, California

We are looking for a Corporate and Securities professional who is looking to join a dynamic and fast-paced in-house legal department that works collaboratively with members of the legal team and our business-partner clients to support a future of growth for the Company. We are looking for someone who produces a high-quality work product, demonstrates initiative and works with minimal supervision. He or she needs to meet deadlines, be able to handle multiple projects simultaneously, and have strong attention to detail and process-orientation. This position reports to the VP, Corporate Secretary.


  • Manage the Company’s 50+ foreign and domestic subsidiaries, including database management and annual compliance (foreign, state and regulatory filings).

  • Support the formation, restructuring and dissolution of subsidiaries.

  • Assist in preparing public company compliance reports, including Forms 3, 4, 5, 10-Q, 10-K, 8-K, S-8, and SD.

  • Assist in preparation of the proxy statement.

  • Assist in managing compliance with the Company’s insider trading program, including: maintain the insider list, coordinate trade clearance requirements, communicate blackout periods to insiders and plan administrators, and review and finalize employee 10b5-1 trading plans with brokers.

  • Maintain Section 16 Reporting Persons holdings data.

  • Support projects related to the annual meeting of stockholders, including drafting the chairman’s script and other meeting documents.

  • Support M&A, financing, and other corporate transactions.

  • Handle other duties and special projects as assigned.

  • Represent leadership on projects within a specific area, including regular contact with Company executives, clients in all business units and work with attorneys across the Legal Department, including legal analysts, and support staff.

  • Consult in project development within scope of work.

  • Be an expert with knowledge and understanding of Edwards policies, procedures, and guidelines relevant to subject matter.

Basic Qualifications:

  • Master’s Degree or 8 years of equivalent experience at a law firm and/or corporate legal department is required.

  • Proven successful project management skills.

  • Proven expertise in MS Office Suite (e.g., Word, Outlook, Excel, PowerPoint) and Adobe.

  • Experience with CT hCue (Section 16 reporting and domestic entity database).

  • Excellent facilitation and presentation skills.

  • Excellent problem-solving, organizational, analytical and critical thinking skills.

  • Excellent communication skills and interpersonal relationship skills, including negotiating and relationship management skills with ability to drive achievement of objectives.

  • Strict attention to detail.

Preferred Qualifications:

  • Experience in healthcare or medical device industry is preferred.
